Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (“you” or “User”) and PS GLOBAL SERIES, LLC, a limited liability company organized under the laws of the State of Florida, with offices at 7345 W Sand Lake Rd, Ste 210, Office 7485, Orlando, FL 32819, United States (“PS GLOBAL SERIES”, “Company”, “we”, “us” or “our”).

By accessing the website at psglobalseries.com (the “Site”), submitting a verification or registration form, or otherwise engaging with the PS GLOBAL SERIES coordination platform (collectively, the “Services”), you confirm that you have read, understood, and agree to be bound by these Terms.

The Services are offered exclusively to verified businesses and licensed healthcare professionals operating in a regulated B2B context. The Services are not directed at consumers and are not intended for use by the general public.

You represent and warrant that:

• You are at least eighteen (18) years of age and have full legal capacity to enter into this agreement.
• You are a licensed healthcare professional, an authorized representative of a credentialed clinic or medical practice, or a duly authorized representative of a certified biomedical laboratory.
• All credential, license, NPI and organizational information you submit is accurate, current, and complete.
• You will only use the Services in compliance with all applicable federal, state, local and international laws, regulations and professional standards.

PS GLOBAL SERIES may, in its sole discretion, request additional credential documentation, suspend or terminate access, or refuse to onboard any prospective User who does not satisfy our credentialing criteria.

PS GLOBAL SERIES operates strictly as a medical logistics liaison and concierge service. The Company facilitates administrative coordination, supply chain orchestration and communication management between independently licensed healthcare providers and independently certified biomedical laboratories.

PS GLOBAL SERIES does not:

• Manufacture, compound, dispense, prescribe, or sell pharmaceutical or biotechnological products to the general public.
• Provide medical advice, diagnosis, treatment guidance, or any other clinical recommendation.
• Establish a physician-patient relationship with any end-user.
• Act as a public marketplace, retail platform, or e-commerce storefront.

All clinical decisions and the use of any product or service ultimately coordinated through the platform remain the sole responsibility of the licensed practitioner involved.

To access the gated Physician Portal you must complete the credentialing process and receive credentials issued by PS GLOBAL SERIES. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to:

• Use a strong, unique password and rotate it periodically.
• Notify us immediately at info@psglobalseries.com of any unauthorized access or suspected compromise.
• Refrain from sharing your credentials with any party who has not been independently credentialed by PS GLOBAL SERIES.

You agree not to:

• Use the Services for any unlawful, fraudulent, deceptive, or harmful purpose.
• Attempt to bypass our credentialing or verification controls, or to gain unauthorized access to any portion of the Site or our infrastructure.
• Upload, transmit, or store any malicious code, automated scrapers, or content that infringes the intellectual-property rights or privacy of any third party.
• Reverse-engineer, decompile, or otherwise attempt to derive the source code of the platform.
• Resell, sublicense, or commercially exploit the Services beyond the scope expressly authorized in writing.

The Site, the platform, all PS GLOBAL SERIES trademarks, logos, text, graphics, software and arrangement thereof are the exclusive property of PS GLOBAL SERIES, LLC and are protected by U.S. and international intellectual-property laws.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your internal, professional B2B purposes only. No other rights or licenses are granted.

The Services may facilitate coordination with independently certified biomedical laboratories, logistics carriers and other third parties (collectively, “Third-Party Providers”). PS GLOBAL SERIES is not the manufacturer, seller or agent of any Third-Party Provider, and any contract for the supply of compounds, biomedical solutions, or related products is formed directly between the credentialed clinic and the Third-Party Provider.

PS GLOBAL SERIES makes no representation or warranty regarding the quality, safety, regulatory status, or fitness for any particular purpose of any product manufactured or supplied by a Third-Party Provider.

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PS GLOBAL SERIES DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PS GLOBAL SERIES, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNTS PAID BY YOU TO PS GLOBAL SERIES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100).

You agree to indemnify, defend and hold harmless PS GLOBAL SERIES, LLC and its affiliates, officers, directors, employees and agents from and against any claim, demand, loss, liability, damage or expense (including reasonable attorneys’ fees) arising out of or related to (a) your breach of these Terms, (b) your use of the Services, (c) your interaction with any Third-Party Provider, or (d) your violation of any applicable law or the rights of any third party.

PS GLOBAL SERIES may, at its sole discretion and without prior notice, suspend, restrict, or terminate your access to the Services if we reasonably believe that you have violated these Terms or applicable law, or that your continued access creates a risk to the platform, other Users, or the public.

Upon termination, all rights granted to you under these Terms will immediately cease, and you must discontinue all use of the Services.

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction of such courts.

We may revise these Terms from time to time. The most current version will always be posted on this page with a revised “Last updated” date. Material changes will be highlighted at the top of the page or communicated through the Physician Portal. Your continued use of the Services after the effective date of any revision constitutes acceptance of the updated Terms.
